Prominent Hill Joint Venture ELs 2563, 2597, 3056, 3079
Minotaur Resources Ltd 100%, Oxiana Limited earning up to 65%
Minotaur Resources Ltd is pleased to advise that the detail for the next stage of exploration at Prominent Hill has been agreed with Oxiana. The joint venture had previously agreed that $3.5 million would be spent to arrive at a decision point. The first $1 million was spent in completing the work undertaken late last year and reported upon on 7 January 2004.
The partners have now agreed to spend $2.5 million to progress a drilling and metallurgical test program, at which point a decision whether to proceed will be made by Oxiana. Should results at that point indicate exploration to have been a success, the program will continue. Approximately 15,000 metres of drilling will be required to achieve a JORC-compliant resource estimate.
It is anticipated that two diamond drill rigs and one reverse circulation rig will be employed, the first in the period March-June, the latter April-May. The re-establishment of the camp at Prominent Hill will commence immediately with the drill rigs expected to be on site by mid March.

The Company is pleased to announce that results have been received from further RC drilling conducted over a basemetals geochemical anomaly some 2.6 km in length at the Company’s Kihabe basemetals project in Botswana.
KIH 11 was drilled -60° at 150° azimuth some 250m northeast of and along strike from KIH 7, the results of which were reported to the Stock Exchange on 17 November 2003.
Assay results were undertaken by Analytical Laboratory Services, Windhoek, by AAS method for lead, copper, zinc and silver
An entire 40m section in KIH 11 from 88m to 128m was mineralised as follows:

Lakes Oil N.L. (“LKO”) is about to enter an active program. During the coming months the Company will re-enter the Wombat-1 well where testing results indicate that the ‘skin’ of the reservoir has been affected by the swelling of clays by water over a large portion of the drilling column in both the Golden Beach and Strzelecki Formations. These swelling clays restricted the entry of gas into the well bore during drilling (see page 3 for explanation of technology to be used).
Lakes has already reported significant gas flows from Wombat-1.
We also intend to then commence drilling of the Wombat-2 well which is located approximately two kilometres south west of Wombat-1. This is currently scheduled to begin mid March. To avoid damage encountered during the drilling in Wombat-1 it is intended to drill underbalanced using a coiled tubing unit through the Golden Beach and Strzelecki Formations. (See page 2).
Lakes will also finally begin the Trifon Tight Gas Project (see page 4) using the Hunt Rig which is currently stacked on site. This well, Trifon-2 will begin immediately after the drilling of Wombat-2.
This is an exciting project and has great potential.

Lakes Oil N.L. ("LKO") advises that it has let a contract with Gravity Capital Limited to use the revolutionary "Falcon" airborne gravity over an area onshore and offshore between the towns of Lakes Entrance and Marlo in the Gippsland Basin, Victoria.
This high resolution gravity survey was developed in the USA by BHP Minerals and Lockhead Martin from USA Military Technology. It has been used extensively in the search for minerals around the world and its use in the petroleum industry is still at an early stage.
Lakes has previously used the "Falcon" onshore and offshore in the Gippsland Basin. This new survey will infill an area which has shown from earlier exploration and seismic surveys that it could have the potential to trap hydrocarbons. - Web Site

DUAL FOCUS FOR TASGOLD FROM OPPORTUNE ELA AQUISITIONS
Managing Director of TasGold Ltd-Mr Peter McNeil announces he is very pleased to report that the company has undertaken a significant re-alignment of focus and priorities to immediately take full advantage of the substantial increase in the gold and nickel prices, since listing in April 2003 and in the recent massive gains in copper prices to 8 year highs, by applying for nine exploration license applications (ELA's) covering ~5,500 km2 in the ‘elephant country' of Papua New Guinea (PNG).
It is expected the ELA's will be granted in due course, however, they are subject to Ministerial discretion. TasGold will now focus on both PNG's and Tasmania's excellent mineral potential.
PNG was chosen for this diversification because:

TasGold (with these ELA's) boasts a total of thirteen advanced exploration projects and more than 150 prospects in PNG and Tasmania, that are all highly prospective for very large epithermal, various intrusive related, quartz- sulphide and mesothermal vein gold, porphyry copper / gold, lateritic nickel, volcanic hosted massive sulphides, platinum group metals and other commodities.
Results include soil assays to 569.0 g/t gold, trenches to 15.6m of 5.12g/t gold and 2m of 104.5g/t gold and drill intercepts to 7m of 15.7g/t gold and 9.6m of 1.30% Ni + 0.13% Co. All the project areas / prospects in the ELA's are significantly under explored and represent a property portfolio that is second to none for a junior exploration company.
The flagship project in PNG is the highly prospective porphyry copper/gold deposit at Mt Bini (Ofi Creek), that contains a 3.8 million oz. gold equivalent Inferred Resource in ~85 million tonnes of 0.6 g/t gold + 0.4% copper. The best hole (only 11 drilled) was consistently mineralised from surface to the end, with 401m of 0.56g/t Au + 0.51% Cu. There is excellent scope to significantly increase this resource and future development possibilities are very good, with the project located just 50 km from the national capital city of Port Moresby.
WIDE DRILL INTERCEPT OF ZINC MINERALISATION IN HOLE 1 AT SMRV PROJECT
SW TASMANIA
TasGold's drilling program at the SMRV (EL's 21/99 and 20/96) is progressing smoothly with the first 6 holes completed in 3 prospect areas for a total of 977.8m. Assay results have been returned for the selective sampling of the first hole (V34-1), which returned an encouraging intersection of 27m of 0.10% Pb and 0.34% Zn (from 106 to 133m downhole). The second hole (SC001) was drilled at the Sassy Creek gold zone and sampled /assayed in it's entirety, but it did not intersect any substantial gold mineralisation. The third hole (SC002) intersected an encouraging zone of alteration and assay results are expected in about 1 week.
SUMMARY
Diamond core holes drilled to date include: V34-1 = 198.0m, SC001= 109.8m, SC002= 180.0m, SC003= 120.0m, SC004= 150.0m and SC005= 220.0m (the first hole at V30) The rig commenced drilling on hole SC006 (the second hole at V30) today.
Hole V34-1 was drilled at the Aldebaran (V34) base-metal Prospect, where the primary target is a high-value polymetallic volcanic hosted massive sulphide (+ gold) deposit such as Rosebery/ Hellyer. The hole was completed at 198m. It was drilled first for logistical / location reasons.
Only specific but continuous sections of the core were cut and the best intersection was 27m of 0.10%Pb and 0.34% Zn (from 106m to 133m - but was not sampled /analysed on either side of this intercept). Individual assays were consistent but low, with peak values of 0.4% Pb and 1.0% Zn. Strong, pervasive sericite-silica-Fe-Mn carbonate alteration was intersected over a 100m interval between 36m and 136m. The alteration was hosted in quartz-phyric lavas and a vitric rich volcaniclastic siltstone.
The hole was a technical success and it identified the source of the soil and possibly the source of the weak IP anomaly. Although the alteration is low grade, the relatively large size of the alteration zone and style of mineralisation is very interesting, as it indicates a Cambrian hydrothermal system was active in the vicinity and is probably representative of the distal part of a VHMS system.
The first of TasGold's diamond holes into the Sassy Creek (V24) prospect, where the primary target is a high-grade gold (hybrid epithermal -VHMS) deposit, was completed in late-January at a depth of 109.8m and the entire hole was submitted for analysis. Subsequently 3 additional holes were completed (for a grand total of 559.8m in 4 holes). An additional hole (SC005) has also been completed at the adjoining Pleiades (V30) Prospect for 220m and the second hole at that prospect was commenced today.
Results were recently received for hole SC001, however, no significant gold and only minor base metal anomalism was noted. The hole intersected extensively silica-carbonate-sericite-pyrite altered rhyolitic volcaniclastic breccias. Results for the remaining holes should be available in about 2 weeks.
The style of alteration and mineralisation observed in hole SC002 at Sassy Creek (silica, sericite, pyrite, carbonate) is very similar to that seen at the Mt. Julia Zone of the Henty Mine, except it is not as strongly silicified. The alteration sequence intersected in the hole (SC002) is very encouraging in terms of gold potential. - Web Site

BEACONSFIELD GOLD'S OFFER TO FULLY REPAY ITS DEBT TO ALLSTATE
You, or your company or organisation, are listed as an unsecured creditor of Allstate Explorations NL (Subject to Deed of Company Arrangement) ("Allstate").
Creditors' Meeting
Mr Michael Ryan of Taylor Woodings, one of the Allstate Joint Deed Administrators, has called a creditors' meeting to be held at the Launceston Function Centre (corner of Canal Street and Lower Charles Street, Launceston, Tasmania) on Tuesday 24 February 2004 at 11.30am and you should have already received a circular regarding the meeting from him.
The purpose of the creditors' meeting is to consider, and if thought appropriate, approve the offer from Beaconsfield Gold to repay in full, in 8 equal six-monthly payments of $324,750, its total remaining debt of $2,598,000 to Allstate as Manager of the Beaconsfield Mine Joint Venture ("BMJV"). Under the Allstate Deed of Company Arrangement ("DOCA"), all of the proposed payments by Beaconsfield Gold will flow 100% to the Allstate BMJV unsecured creditors. The total further dividends to the Allstate unsecured creditors of $2,598,000 would equate to approximately 44.3 cents in the dollar of the BMJV trade creditor claims as at 8 June 2001.
I strongly urge you to attend the meeting on 24 February and to vote "FOR" the repayment offer. If you cannot attend in person, please appoint a proxy to attend and act on your behalf and add the words "TO VOTE FOR ANY RESOLUTION THAT IS MOVED TO ACCEPT THE REPAYMENT OFFER FROM BEACONSFIELD GOLD" after (3) on the Appointment of Proxy Form included as Annexure C in the circular to creditors. Fax your completed proxy form to (08) 9321-8544 before 5pm, Monday 23 February 2004.
You may appoint any person to be your proxy at the meeting. Mr Denis Seen and Mrs Diane Seen, substantial Allstate unsecured creditors who are in favour of the Beaconsfield Gold offer, will be attending the meeting and are willing to act as proxies for other unsecured creditors not able to attend the meeting. To appoint them, simply add the words "MR DENIS SEEN or in his absence MRS DIANE SEEN" after (2) on the Appointment of Proxy Form.
While Michael Ryan has not made a firm recommendation in the circular, he does say, in part, that
"It is possible a decision will be made at the Meeting. In this regard we are generally supportive of the Receiver and Manager's attempts to restructure (Beaconsfield Gold) which will enable (Beaconsfield Gold) to repay the cash call debt (to Allstate)".

Why a "FOR" Vote is Required at the 24 February Meeting
Beaconsfield Gold is raising funds in order to reduce and restructure its secured debt facilities with BankWest and to enable Beaconsfield Gold to come out of receivership and have the ASX trading suspension on its shares lifted. As part of the negotiations with BankWest, Beaconsfield Gold has been able to secure BankWest's approval for the above repayment offer.
All of the funds to be raised by Beaconsfield Gold have conditions precedent that require Beaconsfield Gold to come out of receivership and for Beaconsfield Gold to have settled with its various unsecured creditors, including Allstate. Further, of the funds to be raised, a significant portion, announced in July 2003, has a condition precedent that requires Beaconsfield Gold to come out of receivership by 29 February 2004. As a result, if the above repayment offer is not accepted by the Allstate unsecured creditors on 24 February 2004, Beaconsfield Gold may not be able to come out of receivership as negotiated with BankWest.

For those unsecured creditors that are unable to attend, it is essential that they exercise their voting rights by completing the proxy appointment form as recommended.
I will be attending the meeting, along with Mike Trumbull, the Managing Director of Beaconsfield Gold, and Garry Trevor, the Receiver and Manager for Beaconsfield Gold. Review and results of operations
Revenue
Revenue for the half year to December 31, 2003 was $4,064,652 (2002 $80,773) derived principally from the sale of the 70% interest in the assets at Cracow detailed below.
Operating profit
The net amount of the consolidated profit for the half year was $3,238,911 (2002 $436,474 loss), of which $3,677,124 arose from the sale of the 70% interest in the assets at Cracow detailed below. No income tax was applicable to the half year's result.
Cracow Mining Joint Venture
The Company and its controlled entities Sedgold Pty Ltd and Fernyside Pty Ltd entered into the Cracow Mining Joint Venture with Newcrest Operations Ltd on 5 September 2003. The agreement provided for Sedimentary Holdings Ltd and its controlled entities to hold a 30% interest in the joint venture.
At the same time the parties also reached agreement for the Company and its controlled entities to sell 70% of their interests in certain assets at Cracow net of 70% of existing rehabilitation liabilities to Newcrest Operations Ltd for $4 million. These funds are being applied as contributions by the Company and controlled companies to funding their share of the joint venture development.
In addition, Sedimentary Holdings Ltd reached agreement with Macquarie Bank Ltd to provide a facility of $21 million to fund the balance of development costs for the joint venture. The controlled entities are guarantors of the facility. As a condition of the funding, 125,000 ounces of gold have been sold on a flat forward basis at a price of $A651.50 per ounce.
Following the establishment of the Cracow Mining Joint Venture, the company ceased to have an active management role at Cracow and all activities on the mining leases have been transferred to Newcrest Mining Ltd.
At 31 December 2003, the Cracow Mining Joint Venture had commenced the development of mining infrastructure at the mine site.

BeMaX SECURES ABN AMRO FINANCING FACILITY TO COMPLETE MINERAL SANDS MERGER
BeMaX Resources NL (ASX: BMX) today announced it had accepted a financing facility from international investment bank ABN AMRO to fund the cash component of its three-way asset merger with Nissho Iwai Corporation and Sons of Gwalia Ltd.
The facility will be utilised to meet the $15 million cash payment to Nissho Iwai on completion of the Merger Implementation Agreement. It will also provide additional working capital for the merged group to aggressively pursue development of its flagship Pooncarie Mineral Sands Project in the Murray Basin.
On completion of the merger, BeMaX expects to have a strong cash position of approximately $28 million, enabling it to move swiftly to expedite the development of its Murray Basin assets. The combined resource base of the Group (in the Murray Basin and WA) will be in excess of 70 million tonnes of contained heavy minerals.
Under the merger agreement, Nissho Iwai’s RZM Cable Sands group of companies and the Murray Basin Titanium (MBT) Joint Venture interests will become wholly-owned subsidiaries of BeMaX. Following the issue of shares to Nissho Iwai and MBT Joint Venture partner Sons of Gwalia, BeMaX will be 27% owned by Cristal Australia, 20% by Nissho Iwai, 15% by Sons of Gwalia and 6% by Imperial One Limited.
In addition to issuing shares, BeMaX will pay Nissho Iwai $15 million on completion of the merger. A further (unsecured) deferred payment of $15 million is payable 2 years after completion and a secured deferred payment of $10.5 million is payable 3 years after completion.
BeMaX’s Chairman, Mr Stephen Everett, said: “Securing the ABN AMRO facility enables us to complete the merger and provides additional working capital for us to move forward swiftly with development of our key assets. This represents a key milestone in the merger implementation process, with an announcement expected shortly on the final outstanding requirement BeMaX shareholder approval.” The Shareholder Meeting is expected to be held around 14 April 2004.
“We are pleased with the continuing strong support provided to us by ABN AMRO,” Mr Everett said. “ABN AMRO also acts as the Financial Adviser to the project financing for the Pooncarie Mineral Sands Project, and we look forward to progressing the Pooncarie Project now that the Merger Implementation Agreement has been signed.”
The 3-way asset merger will create a significant new industry leader in mineral sands, consolidating ownership of RZM Cable Sands’ existing WA operations, the Wemen Project (including established infrastructure in the Murray Basin) and the extensive undeveloped resources in the Murray Basin. BeMaX will be the third largest producer of TiO2 feedstock in Australia, with production set to expand dramatically to over 800,000tpa of Heavy Mineral Concentrate once the Pooncarie Project is operational.

Currently Lakes Oil N.L. (“LKO”) is in the process of assessing the results of the Wombat-1 well.
Early indications are that the “skin” of the reservoir has been damaged, as reported earlier, by the hydration of swelling clays over a large portion of the drilling column in both the “Golden Beach” and “Strzelecki” formations and this has restricted the entry of gas into the well bore during testing. This is not an unusual problem.
Discussions are taking place which will result in Lakes re-entering the well and using “Stim” technology on at least one section which was previously tested. This technology involves a small explosive charge which has the effect of extending the current holes previously shot through the casing. It is hoped that these extensions will extend beyond the damaged formation and allow gas to flow freely into the well bore and give a truer representation of the reservoirs’ real productivity.
“WOMBAT- 2” WELL, PEP 157
Onshore Gippsland Basin, Victoria
Lakes has decided to drill Wombat-2 in March. This will involve the drilling to the top of the already productive Golden Beach Formation with the Hunt Energy Rig which is currently stacked on the site.
The well will then be cased before moving the rig off site.
We are presently completing an engineering study including the use of a coiled tubing unit which will be used to complete the well. This will involve drilling underbalanced into the Golden Beach Formation.
TRIFON TIGHT GAS PROJECT PEP 157
Onshore Gippsland Basin, Victoria
An agreement has been reached with Jarden Corporation Australia Pty Ltd of New Zealand allowing them to earn a 50% interest in the Trifon Tight Gas Project (This is a designated area covering the Trifon and Gangell Structures).
Jarden will earn their interest in a portion of PEP 157 after the expenditure of A$5 m in the project.
Jarden is to be granted 30 million options to subscribe for Lakes shares expiring 31 December 2006. The exercise price will be 25% above the average closing price of Lakes' shares on ASX on the 5 business days following this announcement.
It is planned to move the “Hunt Rig” into position to drill Trifon-2 immediately on the completion of Wombat-2.
As with Wombat-2 a coiled tubing unit will be used to drill underbalanced into the Strzelecki Formation. Lakes is delighted to finally get this project underway.
SHARE PURCHASE PLAN FUND RAISING
Last August Lakes had an issue to Shareholders under a Share Purchase Plan which allows up to $5,000 of shares to be offered to Shareholders. At that time a maximum of $3,600 could be taken up.
Lakes has now decided to offer the balance of $1,400 to each shareholder registered as at the close of business on 18 February 2004 at the attractive price of 4 cents per ordinary share which will allow each shareholder to take up 35,000 new ordinary fully paid shares. This is a discount of approximately 27% to the Lakes share price immediately prior to this announcement being made. Offer documentation will be sent to Lakes shareholders around 20 February 2004 in relation to the offer which will close at 5pm on Monday 15 March 2004.
Lakes is pleased to have Bell Potter Securities Limited underwrite the first $4 million of this issue and as there are currently over 7,000 Shareholders in the Company we expect the issue to be heavily subscribed.
This method has been selected to raise funds as it allows our many small Shareholders who have been very supportive of the Company to subscribe at an attractive price. The issue does not require shareholder approval. The underwriter will receive a fee of 5% of funds raised under the issue.
The funds raised will be used for the re-testing of Wombat-1 well and for the drilling of Wombat-2.

FOSTER GOLD JOINT VENTURE
Sedimentary is pleased to announce the formation of a joint venture with range River Gold Ltd to explore an area in eastern Victoria near the township of Foster.
The Foster area is a significant but under explored gold producing area in south Gippsland. Some 170,000 ounces of alluvial gold were recovered in the 19th century and subsequently hard rock gold was located in nearby ladder vein quartz reefs in rock of a similar age to those at Walhalla-Woods Point.
Sedimentary can earn an 80% interest in the tenements currently held by Range River covering 401 sq.km by spending $700,000 within 5 years.
Planning of preliminary field work will commence immediately and following the interest in the tenements being secured, Sedimentary anticipates starting exploration activities in the March quarter of 2004.
Recent aeromagnetic surveys over the Foster tenements have shown a strong magnetic trend existing under younger sediments interpreted to be related to the mineral rich Mount Read volcanics of western Tasmania.
Exploration will be focused on drilling the magnetic anomalies testing the interpretation and seeking fault related gold mineralisation similar to Walhalla in Victoria and Henty in Tasmania.
Foster represents a step in the development of a portfolio of exploration opportunities for Sedimentary aiming to add to the existing high quality gold resources of the company.

Macarthur Coal feels the impact of the strengthening A$ and short-term production shortfall
Revised NPAT forecast
The Directors of Macarthur Coal Limited (ASX: MCC, MCCG) have today announced a revised net profit after tax forecast of $6 million to $7.5 million for the financial year ending 30 June 2004. A loss of up to $2 million is expected to be incurred in the half year ending 31 December 2003.
The revision to the annual NPAT forecast is principally attributable to the rise in the Australian dollar relative to the US dollar. A 5.5 cent rise in the A$/US$ exchange rate since the date of the last profit forecast has reduced the annual NPAT forecast by $6.4 million.
A production shortfall at Coppabella and increased demurrage charges also impacted NPAT. Details of the production shortfall were provided in the recently released December 2003 quarterly report. The increase in demurrage charges resulted in a $1 million reduction in the annual NPAT forecast.
Coppabella operations have been impacted by recent heavy rain in Central Queensland. Pit flooding has prevented access to coal. All available pumps are being used to dewater pits and access to coal is expected to be achieved in 12 days time provided the weather remains dry. Force Majeure has been declared and management is working with customers to minimise the impacts.
The reported production shortfall at Coppabella for the 2004 financial year of 200,000 tonnes may now be as much as 347,000 tonnes.
Moorvale production was not impacted by the recent rain event. Production has now been upgraded from 1,000,000 tonnes to 1,500,000 tonnes for 2003/2004, however thermal coal production will be higher than normal.
